Terms of Use
The use of Cow Clicker Connect or the Cow Clicker API constitutes agreement to follow the Usage Guidelines as well as acceptance of the following Terms of Use.

The Cow Clicker Connect and Cow Clicker API services (hereafter the Cow Clicker APIs) are owned by Shanghai Seafood LLC and are licensed to you on a worldwide, non-exlusive, non-sublicenseable basis. These terms describe the legal use of the API, including all updates, revisions, substitutions, code samples, copies, or other resources provided therefrom. All rights not granted to you herein are hereby retained by Shanghai Seafood LLC.

You may use the use the API, and in so doing you agree to the restrictions set forth in these terms of service until use terminates by either party. These terms terminate automatically if (a) you violate any of these terms of use, (b) Shanghai Seafood LLC publicly posts notification of termination of the Cow Clicker APIs, (c) Shanghai Seafood LLC sends you a written notice of termination, or (d) Shanghai Seafood LLC ceases to provide you with access to the API.

You may only use a single application id per application or service and such application id must accompany all requests from that application. You can sign up for an application ID at http://apps.facebook.com/cowclicker/cowclickification. You must provide accurate identification information required as part of the registration process. You may not create any script or other automated tool that attempts to create multiple applications.

You shall implement any application or service that uses the Cow Clicker APIs in a manner that follows the Cow Clicker API Usage Guidelines and Branding Guidelines. These guidelines are available at http://api.cowclicker.com/docs/cownduct.shtml and http://api.cowclicker.com/docs/branding.shtml, respectively. You acknowledge that Shanghai Seafood LLC may change the usage guidelines and branding guidelines from time to time, with or without notice to you.

You understand that a rate limit may be applied to the Cow Clicker APIs, either on a per-application basis or in general. Any methods intended to subvert rate limiting are considered a violation of these Terms of Use.

You may not create any script or other automated tool that invokes the Cow Clicker API directly with the intention to exploit or otherwise manipulate the Cow Clicker APIs or the Cow Clicker platform, without providing some function or experience to an end user.

You may not publish, transmit, sell, share, or barter user or cow data retrieved from the Cow Clicker APIs in any way.

You shall not attempt to decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Cow Clicker APIs, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open sourced components included with the Cow Clicker APIs). Any attempts to do so is a violation of these Terms of Service.

You shall not use the Cow Clicker APIs in connection with or to promote any products, services, or materials that constitute, promote or are used primarily for the purpose of dealing in: spyware, adware, or other malicious programs or code, counterfeit goods, items subject to US embargo, hate materials, or any otherwise illegal products, services, or activities.

You shall not use the Cow Clicker APIs for any purpose that violates any law or regulation, any right of any person, including but not limited to intellectual property rights, rights of privacy, or rights of personality.

You shall not use the Cow Clicker APIs to operate any mission-critical machinery, devices, or facilities where human life or property may be at stake. You understand that the Cow Clicker APIs are not guaranteed for fitness for any particular purpose, or even to operate at all, and that their failure in such circumstances could lead to death, injury, property damage, or other loss for which Shanghai Seafood LLC is not responsible.

You shall not sell, lease, or sublicense the Cow Clicker APIs or access thereto without Shanghai Seafood LLC's prior, express, written permission.

When using the Cow Clicker APIs, you shall exceed reasonable request volume, or perpetrate excessive or abusive usage.

Shanghai Seafood LLC owns all rights, title, and interest in and to the Cow Clicker APIs. These terms of Use grant you no right, title, or interest in any intellectual property owned or licensed by Shanghai Seafood LLC, including (but not limited to) the Cow Clicker APIs themselves, Cow Clicker images or assets, and Cow Clicker trademarks.

Shanghai Seafood LLC may provide support, upgrades, or modifications to the Cow Clicker APIs. Such support is provided at the sole discretion of Shanghai Seafood LLC, and Shanghai Seafood LLC may change, suspend, or terminate support at any time with or without notice to you. Shanghai Seafood LLC may also impose restrictions or change access to the Cow Clicker APIs with or without notice, including but not limited to charging fees for future use of or access to the Cow Clicker APIs.

THE COW CLICKER APIs ARE EXPERIMENTAL AND HAVE NOT BEEN TESTED IN ANY MANNER. SHANGHAI SEAFOOD LLC DOES NOT REPRESENT OR WARRANT THAT THE COW CLICKER APIs ARE FREE OF INACCURACIES, ERRORS, BUGS, OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, COMPLETE, OR OTHERWISE VALID.

THE COW CLICKER APIs ARE PROVIDED "AS IS" WITH NO WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND AND SHANGHAI SEAFOOD LLC EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, TITLE AND/OR NON-INFRINGEMENT.

YOUR USE OF THE COW CLICKER APIs IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM THE USE OF THE COW CLICKER APIs INCLUDING, BUT NOT LIMITED TO, ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.

To the maximum extent permitted by applicable law, you hereby release and waive all claims against Shanghai Seafood LLC and its owners, affiliates, officers, agents, licensors, co-branders or other partners, and employees from any and all liability for claims, damages (actual and/or consequential), costs and expenses (including litigation costs and attorneys' fees) of every kind and nature, arising from or in any way related to your use of the Cow Clicker APIs.

To the maximum extent permitted by applicable law, you agree to hold harmless and indemnify Shanghai Seafood LLC and its owners, affiliates, officers, agents, licensors, co-branders or other partners, and employees from and against any third party claim arising from or in any way related to your use of the Cow Clicker APIs, including any liability or expense arising from all claims, losses, damages (actual and/or consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. Cow Clicker shall use good faith efforts to provide you with written notice of such claim, suit or action.

Notwithstanding any provision hereof, for all purposes of the Terms of Use, you and Shanghai Seafood LLC shall be and act independently and not as partner, joint venturer, agent, employee or employer of the other. You shall not have any authority to assume or create any obligation for or on behalf of Shanghai Seafood LLC or its owners, affiliates, officers, agents, licensors, co-branders or other partners, express or implied, and you shall not attempt to bind Cow Clicker to any contract.

Invalidity of Specific Terms. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision and the other provisions of such documents remain in full force and effect.

The Terms of Use and the relationship between you and Shanghai Seafood LLC shall be governed by the laws of the State of Georgia without regard to its conflict of law provisions.

Shanghai Seafood LLC's failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision.
